Please read these Terms of Service carefully before using the Paebs Payments platform. By accessing or using our services, you agree to be bound by these terms.

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the services provided by Paebs Payments Ltd. ("Paebs," "we," "us," or "our"), a company registered in the Republic of Seychelles under registration number 238855, with registered office at Suite 4, Premier Building, Revolution Avenue, Victoria, Mahé, Seychelles.

By creating an account or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and any other policies referenced herein.

2. Definitions

In these Terms, the following definitions apply:

  • "Account" means your Paebs user account.
  • "Manager Account" means an Account with the ability to create and manage Sub-Accounts.
  • "Sub-Account" means an account created under a Manager Account.
  • "Payment Services" means the card payment processing and related services we provide.
  • "User," "you," or "your" refers to any person or entity using our services.

3. Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding contract
  • Not be prohibited from using our services under applicable law
  • Provide accurate and complete registration information
  • Not use our services for any prohibited activities

4. Account Registration

To access our Payment Services, you must create an Account. You agree to provide accurate, current, and complete information during registration and to update this information to maintain its accuracy.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

5. Payment Services

Paebs provides payment processing services that enable you to accept card payments from your customers. Our services include:

  • Processing of credit and debit card transactions
  • Manager Account functionality with Sub-Account management
  • UK IBAN issuance for eligible Manager Accounts
  • Payout services to your designated bank account
  • Reporting and analytics tools
  • API access for integration purposes

6. Fees and Pricing

You agree to pay all fees associated with your use of our services as described on our Pricing page and in your account agreement. Fees may include:

  • Transaction fees (percentage plus fixed amount per transaction)
  • Monthly subscription fees (if applicable)
  • Sub-Account fees for Manager Accounts
  • Chargeback fees
  • Currency conversion fees

We reserve the right to modify our fees upon 30 days' notice. Continued use of our services after fee changes constitutes acceptance of the new fees.

7. Prohibited Activities

You may not use our services for any illegal or unauthorized purpose. Prohibited activities include but are not limited to:

  • Fraud, money laundering, or terrorist financing
  • Sale of illegal goods or services
  • Violation of intellectual property rights
  • Adult content or services (unless pre-approved)
  • Gambling (unless properly licensed)
  • Sale of weapons or controlled substances
  • Pyramid schemes or multi-level marketing

8. Refunds and Chargebacks

You are responsible for your refund policy and for handling refund requests from your customers. We will process refunds as instructed by you through our platform.

You are liable for all chargebacks initiated by cardholders. We will notify you of chargebacks and provide tools to respond to disputes. Chargeback fees apply as described in our pricing.

9. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws. You are responsible for ensuring that your collection and use of customer data complies with applicable laws.

10. Termination

Either party may terminate this agreement at any time by providing written notice. We may suspend or terminate your account immediately if we reasonably believe you have violated these Terms or engaged in fraudulent activity.

Upon termination, you remain liable for all fees incurred and any pending chargebacks. We will process any remaining payouts to your account within our standard timeframes.

11. Limitation of Liability

To the maximum extent permitted by law, Paebs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our services.

Our total liability for any claims arising under these Terms shall not exceed the total fees paid by you to Paebs in the twelve months preceding the claim.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Seychelles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Seychelles.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by email or through our platform. Your continued use of our services after such changes constitutes acceptance of the updated Terms.
